1. Acceptance of Terms

This website, platform, and all related CRM software and marketing systems (the “Services”) are operated by Unbreakable Life LLC, a Florida limited liability company, and its owner Michael Racaniello (“Provider,” “we,” “us,” or “our”).

By creating an account, logging in, or using our Services, you (“Subscriber,” “you,” or “your”) agree to be legally bound by these Terms & Conditions (“Terms”). If you do not agree, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Unbreakable Life LLC.

2. Description of Services

Unbreakable Life LLC provides digital business software, automation systems, and communication tools (collectively, the “Services”) through individual sub-accounts on the Unbreakable Life CRM, powered by Go High Level (GHL). Subscribers may enroll in one or both of the following service plans:

A. Marketing Management & Software Plan

Access to CRM, funnels, automations, A2P verified messaging, dashboards, marketing support, and setup.

Fee: $500/month per user, billed monthly, plus a $500 one-time setup fee.

B. Unbreakable Local Dialer System (Powered by WAVE)

Includes local number matching, multi-line dialing, and spam protection on all numbers.

Fee: $275/month per user, billed monthly.

Optional; may be added or removed with proper notice (see Section 5).

All services are cloud-based. Provider may update or modify features at any time to improve performance or maintain compliance.

3. Subscription Fees & Billing

3.1 Payment Authorization

Subscriber authorizes Provider (via Stripe or its payment designee) to automatically charge the payment method on file each month on the same day as the Effective Date.

3.2 Non-Refundable Policy

All setup, monthly, and usage fees are non-refundable. Subscriptions renew automatically until canceled in accordance with Section 5.
No credits or refunds are issued for partial months or unused time.

3.3 Additional Usage Fees (Twilio carrier rates)

Note: Rates vary by region. Outbound SMS for US/Canada is billed per segment based on Twilio carrier pricing.

3.4 Chargeback Waiver

Subscriber irrevocably waives all rights to dispute, reverse, or charge back payments. Unauthorized chargebacks will result in immediate suspension and collection for:

Disputed amounts;

Stripe’s $15 per-occurrence fee; and

Any attorney, collection, or recovery costs.

All payments are final regardless of usage, satisfaction, or cancellation timing.

4. Data Privacy & Account Protection

4.1 Data Ownership

Subscriber owns and retains rights only to their contact and communication data (names, emails, phone numbers, and messages).
All other system assets — including automations, funnels, workflows, call logs, templates, and configurations — are and remain the exclusive property of Unbreakable Life LLC and Michael Racaniello.

Provider does not access Subscriber data except as required for technical support or legal compliance.

4.2 Platform Provider (Go High Level)

The Unbreakable Life CRM is hosted on the Go High Level platform, which maintains encryption and infrastructure security.
In the event of a data breach or system outage, Subscriber agrees that Unbreakable Life LLC and Michael Racaniello are not liable for damages or data loss.

5. Cancellation & Termination

5.1 Subscriber Cancellation

Subscribers may cancel by emailing [email protected] or using the in-app cancellation option at least 30 days before the next billing cycle.
Cancellations made within 30 days of renewal will apply to the following billing period.

5.2 Provider Termination (Including Non-Payment)

Provider may suspend or terminate service immediately if the Subscriber:

Violates these Terms or any applicable law;

Initiates a chargeback;

Engages in misuse, fraud, or illegal activity; or

Fails to remit payment when due.

If payment fails, the Subscriber’s software access will be locked until payment is remitted.
If payment remains outstanding for one full billing cycle, the sub-account will be terminated and deleted permanently pursuant to Section 5.3.

5.3 Data Export & Deletion Process

Upon termination (whether initiated by Subscriber or Provider):

Export: Unbreakable Life LLC will export only the Subscriber’s contact information (names, emails, and phone numbers) in a CSV file and email it to the registered email address.

Deletion: After export, the sub-account and all remaining data will be permanently deleted.

Irreversibility: Once deleted, all data is unrecoverable. This ensures that Unbreakable Life LLC, its employees, associates, and Michael Racaniello cannot access, reuse, or retain any Subscriber data.

6. Intellectual Property & Content Use

All videos, scripts, templates, funnels, workflows, automations, advertisements, and other proprietary content developed by Unbreakable Life LLC or Michael Racaniello remain their exclusive property.

Subscribers are granted a limited, revocable, non-transferable license to use these materials only while maintaining an active subscription.

Upon cancellation or termination, the Subscriber must cease all use of such materials.
Unauthorized use, copying, or re-distribution constitutes intellectual property infringement and may result in legal action, including injunctive relief and damages.

7. Confidentiality

Subscribers agree not to share or disclose any confidential business information, strategies, or trade secrets of Unbreakable Life LLC without written consent.

8. Disclaimers & No Guarantees

Unbreakable Life LLC and Michael Racaniello make no guarantees or representations regarding income, results, or performance.
All outcomes depend on individual effort, execution, and market conditions.
Provider shall not be held liable if the Subscriber is unsuccessful in their business endeavors.

9. Limitation of Liability

The Services are provided “AS IS.”
Provider does not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law:

Unbreakable Life LLC and Michael Racaniello shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.

Total liability shall not exceed the total amount paid by the Subscriber during the prior three (3) months.

10. Indemnification

Subscriber agrees to defend, indemnify, and hold harmless Unbreakable Life LLC, Michael Racaniello, and their affiliates from any and all claims, damages, liabilities, or expenses arising from:

Violation of these Terms;

Misuse of the Services; or

Non-compliance with laws or regulations.

11. Governing Law & Arbitration

These Terms shall be governed by the laws of the State of Florida, without regard to conflicts of law.
All disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Miami-Dade County, Florida.
Each party is responsible for its own legal costs.

12. Legal Compliance & Advertising Responsibility

Subscriber acknowledges that the Services may be used to promote financial or insurance products.
The Subscriber is solely responsible for ensuring compliance with all applicable federal, state, and local laws, including but not limited to:

State Department of Insurance regulations;

Licensing and appointment requirements;

Truth-in-advertising laws;

TCPA, CAN-SPAM, FTC, and FCC rules;

State-specific marketing or solicitation restrictions;

Local municipal ordinances regarding financial or insurance advertising.

Unbreakable Life LLC and Michael Racaniello are not responsible for any violation, fine, or enforcement action resulting from the Subscriber’s advertising or marketing practices.

The Subscriber agrees to indemnify and hold Unbreakable Life LLC and Michael Racaniello harmless from any penalties, investigations, or claims arising from their conduct or non-compliance.

13. Entire Agreement

These Terms constitute the entire understanding between Unbreakable Life LLC and the Subscriber, superseding all prior representations, proposals, or communications.
Any modification must be in writing and signed by both parties.

14. Acceptance

By creating an account, clicking “I Agree,” or using the Unbreakable Life platform, you confirm that:

You have read and understood these Terms;

You agree to all payment, cancellation, liability, and compliance terms; and

You acknowledge this agreement is legally binding.
